Terms of Service
The legal agreement between you and PrawnMail.
Please read these Terms of Service (“Terms”) carefully before using PrawnMail. By accessing or using our service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using PrawnMail, you confirm that you:
- Are at least 18 years of age
- Have the authority to enter into this agreement
- Agree to comply with these Terms and all applicable laws
If you are using PrawnMail on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
PrawnMail is an AI-powered sales outreach platform that helps users:
- Research prospects using publicly available information
- Generate personalised email content
- Manage and track email campaigns
- Schedule and automate follow-up sequences
- Provide a managed outreach service, including prospect data sourcing, subdomain provisioning, landing page creation, email account configuration, and ongoing campaign management on behalf of clients (“Managed Service”)
We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where practicable.
3. User Accounts
Account Creation
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.
Account Security
You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised access or security breach at matthew@prawnmail.co.uk.
One Account Per User
Each user may maintain only one account. Creating multiple accounts to circumvent limitations or abuse the service is prohibited.
4. Acceptable Use Policy
You agree NOT to use PrawnMail to:
- Send spam: Unsolicited bulk emails or messages to people who have not consented to receive them
- Violate laws: Break any applicable laws, including data protection regulations (UK GDPR, PECR), anti-spam laws, or export controls
- Harass or abuse: Send threatening, abusive, defamatory, or harassing content
- Deceive: Impersonate others, use misleading subject lines, or engage in phishing
- Distribute malware: Send viruses, malware, or harmful code
- Scrape or harvest: Use automated tools to extract data from our platform beyond normal usage
- Circumvent limits: Attempt to bypass usage limits, security measures, or access controls
- Resell access: Share, resell, or sublicense your account without permission
We reserve the right to suspend or terminate accounts that violate this policy, with or without notice.
5. Email Compliance
When using PrawnMail for outreach, you are responsible for ensuring compliance with:
- UK GDPR: Having a lawful basis for processing personal data
- PECR: Privacy and Electronic Communications Regulations for marketing emails
- CAN-SPAM: If emailing US recipients
- Other applicable laws: Based on your recipients’ locations
You must include accurate sender information and honour unsubscribe requests promptly.
6. Payment Terms
Pricing
Current pricing is displayed on our pricing page. All prices are in GBP and exclude VAT unless stated otherwise.
Billing
Paid subscriptions are billed monthly in advance. Payment is processed securely through Stripe.
Refunds
We offer refunds at our discretion. If you are unsatisfied with the service within the first 14 days, contact us to discuss your options.
Failed Payments
If a payment fails, we will attempt to collect payment again and may suspend your account until the outstanding balance is paid.
Price Changes
We may change our prices with 30 days’ notice. Existing subscribers will be notified before any price increase takes effect.
7. Free Trial
We may offer a free trial period. During the trial:
- You may have access to limited features or credits
- No payment is required until the trial ends
- We may require payment details upfront (you won’t be charged during the trial)
- The trial may be discontinued or modified at our discretion
8. Managed Service
This section applies if you subscribe to our Managed Service offering, where PrawnMail sets up and manages email outreach campaigns on your behalf.
Scope of Service
The Managed Service includes:
- Sourcing targeted B2B prospect data from third-party databases on your behalf
- Provisioning of a subdomain on our domain (e.g. yourcompany.prawnmail.co.uk)
- Configuration of a dedicated email sending account via Brevo
- Creation of a landing page hosted on your subdomain
- Setup of a PrawnMail user account for viewing leads and campaign performance
- Ongoing prospect research, email composition, campaign scheduling, and performance optimisation
Prospect Data Sourcing
We source B2B contact data from third-party professional databases on your behalf. PrawnMail selects data providers at its discretion. While we take reasonable steps to ensure data quality, we make no guarantees regarding the accuracy, completeness, or deliverability of sourced prospect data. You are responsible for confirming you have a legitimate interest in contacting the prospects we source for you.
Client Responsibilities
As a Managed Service client, you are responsible for:
- Providing accurate business information for landing pages and email content
- Defining your target market and ideal customer profile
- Reviewing and approving content where requested
- Complying with all applicable laws regarding the products or services you promote
- Confirming you have a legitimate interest in contacting prospects sourced on your behalf
- Notifying us promptly of any changes to your business that may affect campaign content
Subdomain and Infrastructure Ownership
Subdomains provisioned under prawnmail.co.uk (e.g. yourcompany.prawnmail.co.uk) remain the property of PrawnMail. You are granted a non-exclusive, non-transferable licence to use the subdomain for the duration of your Managed Service subscription. Upon termination, we may reassign or deactivate the subdomain.
Landing Page and Content Ownership
Landing pages created as part of the Managed Service are designed and hosted by PrawnMail. The design, layout, and code remain our intellectual property. Business-specific content (your company name, descriptions, and branding you provide) remains yours. Upon termination, landing pages will be taken offline. You may request a copy of any business content you provided.
Data Processing
When providing the Managed Service, PrawnMail acts as a data processor on your behalf. We process prospect and lead data according to your instructions and in compliance with applicable data protection laws. Further details are provided in our Privacy Policy.
Acceptable Use
The Acceptable Use Policy (Section 4) applies equally to Managed Service clients. You may not instruct us to send emails or create content that would violate these policies. We reserve the right to refuse instructions that breach our acceptable use standards.
Payment
Managed Service fees consist of a one-time setup fee and a recurring monthly subscription. The setup fee is payable before work begins. Monthly fees are billed in advance. All other payment terms in Section 6 apply.
Termination of Managed Service
Upon termination of your Managed Service subscription:
- Campaign activity will cease at the end of your billing period
- Your subdomain will be deactivated within 30 days
- Landing pages will be taken offline within 30 days
- You may request an export of your lead and campaign data within 30 days of termination
- Your PrawnMail dashboard access will be revoked
- Email sending accounts configured for your campaigns will be decommissioned
Data will be retained for up to 6 months after termination for legal and accounting purposes, after which it will be securely deleted.
Service Level
We aim to respond to Managed Service queries within 2 business days. This is a target, not a guaranteed SLA. Formal service level agreements may be introduced in future.
9. Intellectual Property
Our Property
PrawnMail, including its design, features, code, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our service.
Your Content
You retain ownership of any content you upload or create using PrawnMail. By using the service, you grant us a limited licence to process your content solely to provide the service.
AI-Generated Content
Emails and content generated by our AI are provided for your use. You are responsible for reviewing, editing, and approving all content before sending.
10. Data and Privacy
Your use of PrawnMail is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
You are responsible for ensuring you have appropriate consent or legal basis to process any prospect data you upload to PrawnMail.
11. Disclaimers
PrawnMail is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to:
- Merchantability or fitness for a particular purpose
- Accuracy or reliability of AI-generated content
- Uninterrupted or error-free operation
- Results or outcomes from using the service
You acknowledge that AI-generated content may contain errors and requires human review.
12. Limitation of Liability
To the maximum extent permitted by law, PrawnMail and its owner shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use or inability to use the service
- Actions taken based on AI-generated content
Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
13. Indemnification
You agree to indemnify and hold harmless PrawnMail from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload or emails you send using the service
14. Termination
By You
You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
By Us
We may suspend or terminate your account if you:
- Violate these Terms or the Acceptable Use Policy
- Fail to pay outstanding fees
- Engage in activity that harms us or other users
Effect of Termination
Upon termination, your right to use the service ceases immediately. We may delete your data after a reasonable retention period, unless required to retain it by law.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or through the service at least 30 days before taking effect.
Continued use of PrawnMail after changes become effective constitutes acceptance of the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We encourage you to contact us first to resolve any issues informally before pursuing legal action.
17. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and PrawnMail regarding the service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not waive that right.
- Assignment: You may not assign your rights under these Terms without our consent.
